Introduction

Welcome to our website! These are the Official Terms and Conditions of the Race Ready Simulator Sweepstakes (“Terms”), operated by Lions Share Digital, Inc., dba “Race Ready Sim” (“Company,” “We,” “Us,” or “Our”) and delivered via our website, racereadysim.com (collectively, “Sweepstakes”). By entering into our Sweepstakes, you, the participant, agree to be bound by these Terms and our decisions in construing them, such decisions shall be final and binding in all respects.

THIS PROGRAM IS VOID WHERE PROHIBITED BY LAW.

Eligibility

The Program is open solely to legal residents of the fifty (50) United States and the District of Columbia who are 18 years of age or older at the time of entry. This Program is open to participation only to natural persons and corporate entities of any sort (corporations, LLCs, partnerships) are not eligible to participate. Employees, officers, directors, or agents of Company (collectively, “Promoter”) or any of Promoter’s partners, related companies, agencies, or agents, as well as the immediate family (defined as spouse, parents, siblings, children, and grandparents) and same household members of any such employee, officer, director, or agent, are not eligible to participate. All applicable federal, state, and local laws and regulations apply. Void where prohibited or restricted by law.

In addition to the foregoing eligibility requirements, you must have a valid, active email account capable of sending and receiving electronic mail and be a participating user of that specific email system, network, or platform. For example, Gmail, Yahoo, Outlook, etc. Please check your email account, including the electronic device (such as a computer or smartphone) that you use to access such account, and ensure that you have no restrictions on sending or receiving email. WE DISCLAIM ANY AND ALL LIABILITY ASSOCIATED WITH A FAILURE OF ANY EMAIL SYSTEM OR PLATFORM, NOT INCLUDING OUR OWN, AND YOU EXPRESSLY AGREE THAT IT IS YOUR RESPONSIBILITY TO REGULARLY CHECK YOUR OWN EMAIL IN THE COURSE OF PARTICIPATING IN OUR SWEEPSTAKES AND TIMELY COLLECTING ANY PRIZE YOU MAY BE AWARDED PURSUANT TO YOUR PARTICIPATION THEREIN.

How to Participate

To participate, enter your email on the space provided on the homepage of our website: racereadysim.com. Upon affirmatively opting in, you will be entered into a random drawing to determine the winner of a $1,000 discount which may only be applied or credited against the purchase price of any of our racing simulators available for purchase to consumers (the “Discount Prize”). Upon entry, you will receive an automated email from us, or a third-party service provider we contract with, confirming your entry into the Sweepstakes. In addition, you may receive additional marketing and promotional emails from us from time to time. You are free to unsubscribe from these marketing and promotional emails at any time by utilizing the “unsubscribe” feature located at the bottom of such emails and participation in the Sweepstakes is not conditioned upon your agreement to receive marketing and promotional emails from us. In addition, you are not required to make any purchase from us in order to participate in the Sweepstakes.

How to Stop Participating

If at any time you want to stop receiving email communications from us, whether they be promotional or related to the Sweepstakes, you may opt out of such communications by using the “unsubscribe” or “opt out” feature found at the bottom of such emails. You may receive an additional message from us confirming your decision to opt out of the Sweepstakes or our promotional emails, but we will use our best efforts to ensure you are removed from any future automated email communications from us. Please note, opting out of the Sweepstakes does not necessarily mean that you will cease receiving email marketing communications from us or other notifications related to your purchases, orders, or items in your shopping cart or wishlist.

You acknowledge and agree that the opt out procedure described in these Terms is the most efficient and reasonable method of opting out of the Sweepstakes. Furthermore, you acknowledge that our email system, network, or platform, or the third-party provider who operates our automated email platform, may not recognize and/or respond to unsubscribe or opt-out requests you make by emailing us or messaging us phrases or keyword commands like “STOP”, “END”, “CANCEL”, “UNSUBSCRIBE”, or “QUIT”. Unless otherwise indicated, any emails from us will be from a “do not reply” account and if you reply to such email, we will not receive your reply. You acknowledge and agree that the foregoing phrases or keyword commands, including misspellings or variations thereof, are insufficient to adequately opt-out of the Sweepstakes and that neither Company nor our affiliates shall have any liability for failing to honor such deficient opt-out requests. You also understand and agree that any other method of opting out, including, but not limited to, emailing words other than those set forth above or verbally requesting one of our employees, agents, or representatives to remove you from our list, is not a reasonable means of opting out.

Sweepstakes Description and Rules

As mentioned above, the Sweepstakes is a random drawing to determine the winner of the Discount Prize. On a date and time in the future, we will conduct a drawing to determine the winner of the Sweepstakes (the “Drawing Date”). The Drawing Date will be announced by us in advance on our website and we may send you an additional email to notify you in advance of the upcoming Drawing Date. Please note, forty-eight (48) hours prior to the Drawing Date, we will close the Sweepstakes participation pool and no additional persons will be eligible to participate in that Drawing Date by submitting their email address to us (the “Record Date”). In other words, subject to the eligibility requirements identified above, the Record Date will determine all the persons eligible to win the Sweepstakes on a particular Drawing Date.

On the Drawing Date, we will randomly select one of the Sweepstakes entrants from the emails provided to us and the individual owning this email shall be the winner of the Sweepstakes (the “Award Winner”). Upon determining an Award Winner, we will send an email communication to the Award Winner notifying them of their win. In addition, we will ask the Award Winner to provide us with reasonable documentation or information verifying their identity and confirming eligibility for the Sweepstakes. Upon providing us with satisfactory documentation and information requested by us, in our sole discretion, we will deliver the Discount Prize to the Award Winner.

We reserve the right to determine the exact method of delivering the Discount Prize but anticipate that it will be awarded in the form of a unique code which the Award Winner may subsequently provide to us at point of sale in order to redeem the Discount Prize. Please note, the Discount Prize is a one-time offer unique to the Award Winner and cannot be redeemed more than once. Should the Award Winner transfer the Discount Prize (or the unique code we provide for purposes of redeeming the Discount Prize) to another individual that subsequently redeems it, they will no longer be eligible to redeem the Discount Prize themselves.

In conjunction with, or shortly after, notifying the Award Winner, we will send a separate email to all other Sweepstakes participants notifying them that another individual has received the Discount Prize, and that the Sweepstakes has concluded. In that email, we agree not to share any personally identifying information regarding the Award Winner, unless the Award Winner otherwise consents to us sharing such information or otherwise advertising or promoting their win.

Please note, you are only eligible to win the Sweepstakes once. Furthermore, as a condition of your participation in the Sweepstakes, you agree not to submit more than one email address or otherwise engage in any inappropriate or abusive behavior to “game” the system or otherwise increase your odds of being selected for the Discount Prize. For example, if you have both a Gmail and Yahoo email account, and you submit both of them to us in order to effectively enter yourself into the Sweepstakes twice, we reserve the right to remove one of your email addresses from the Sweepstakes or otherwise disqualify you entirely from participation in the Sweepstakes. This example is not intended to be an exhaustive list of what qualifies as inappropriate or abusive behavior with respect to participating in our Sweepstakes, and we reserve the right to monitor our Sweepstakes and individuals’ participation therein in order to ensure the integrity of the Sweepstakes. Notwithstanding anything to the contrary herein, we reserve the right to terminate your participation in the Sweepstakes at any moment if we determine, in our sole discretion, you are cheating, gaming, or otherwise employing inappropriate means or methods to exploit the Sweepstakes.

Should you win the Sweepstakes, you are not entitled to a cash payment of $1,000 from us. The Discount Prize is purely a discount against any future purchase of one of our racing simulators and participation in the Sweepstakes does not obligate you to consummate any future purchase. Furthermore, the Discount Prize is valid for one (1) year and shall expire 365 days following the Award Date (the “Expiration Date”). You are solely responsible for redeeming the Discount Prize prior to the Expiration Date and we cannot leave the Discount Prize open to redemption indefinitely. You acknowledge and agree that these expiration terms are a reasonable restriction on the Sweepstakes, and subject to the passage of the applicable time, you waive your right to exercise the Discount Prize upon the Expiration Date.

lease note, while we do our best to fulfill every customer order, supplies of goods are limited and we cannot guarantee that any specific racing simulator will be available for purchase at a future date. In the event a particular racing simulator or other item sold by us which you desire to apply the Discount Prize to is sold out or no longer available, we will attempt to offer you a substitute of similar quality or characteristic. You hereby acknowledge and agree that this constitutes a sufficient accommodation in such an event and that you will not be owed any additional consideration from us.

Cost of Participation in the Sweepstakes

As stated above, there is no purchase necessary to participate in the Sweepstakes. While most email systems and platforms are provided to users for free, there are some email systems and platforms that charge their customers for accounts (for example, if you enroll in Gsuite or other commercial equivalent such as Microsoft Office 365). Participation in the Sweepstakes does not require that you use any email system, network, or platform that is associated with a fee or charge of any sort. You are free to participate in the Sweepstakes so long as you have a valid email address capable of sending and receiving emails, and we do not require that you make any purchase from us or another party to participate.

If you would like support or any help regarding the Sweepstakes, please email us at info@racereadysim.com. You will need to provide us with sufficient information about you, and, if applicable, your issue in order for us to take steps towards resolving it. In addition, we may ask for information about you prior to rendering any assistance in order to verify your identity and prevent potential fraud against you, us, and our third-party partners.

Please note, that simply emailing us may not be an acceptable method of opting out of the Sweepstakes. Utilizing the “unsubscribe” or “opt out” feature at the bottom of any email communication from us will be the best method to opt out of communications from us, however, if that button or feature does not work as intended, please notify us via email so that we can take steps to remedy it and comply with your opt out request.

WARRANTY DISCLAIMER

THE SWEEPSTAKES IS OFFERED ON AN "AS-IS" BASIS TO ALL PARTICIPANTS AND IT MAY NOT BE AVAILABLE IN ALL AREAS AT ALL TIMES AND MAY NOT CONTINUE TO WORK IN THE EVENT OF PRODUCT, SOFTWARE, COVERAGE OR OTHER CHANGES MADE BY US, YOUR EMAIL PROVIDER, OR OTHER THIRD PARTIES. WE WILL NOT BE LIABLE FOR ANY DELAYS OR FAILURES IN THE RECEIPT OF ANY EMAIL MESSAGES CONNECTED WITH THIS SWEEPSTAKES AND WE DISCLAIM ANY AND ALL EXPRESS OR IMPLIED WARRANTIES THAT MAY BE ASSOCIATED WITH OUR OPERATION AND OF THIS SWEEPSTAKES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. DELIVERY OF EMAIL MESSAGES IS SUBJECT TO FACTORS OUTSIDE OF OUR CONTROL, INCLUDING WITHOUT LIMITATION EFFECTIVE FUNCTIONING AND TRANSMISSION FROM YOUR EMAIL PROVIDER/NETWORK OPERATOR, EFFECTIVE FUNCTIONING OF THE ELECTRONIC DEVICE YOU USE TO ACCESS SUCH EMAIL, AND EFFECTIVE FUNCTIONING OF YOUR INTERNET SERVICE PROVIDER. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT WE SHALL NOT BE LIABLE FOR ANY LATENCIES OR DEFICIENCIES IN PERFORMANCE WITH RESPECT TO THIRD-PARTY SYSTEMS, NETWORKS, OR PLATFORMS OUTSIDE OF OUR CONTROL.

Use of Collected Materials and Information

We may collect, store, analyze or otherwise exploit your personal data in order to administer the Sweepstakes, exercise any rights or obligations according to these Terms, and to improve Our business. By entering into any the Sweepstakes, you agree to our collection and use of your personal information. Dispute Resolution

You hereby agree that all disputes, causes of action, claims, controversies, and lawsuits between you and us, including our affiliates, agents, representatives, managers, officers, shareholders, and directors, which arise out of or relate to federal or state statutory law, common law, these Terms, or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of these Terms, shall be subject to binding arbitration to be conducted in Nashville, Tennessee before a single arbitrator jointly selected by the parties to such dispute.

The parties agree to submit the dispute to binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) then in effect. Except as otherwise provided herein, the laws of the United States and the State of Tennessee, without regard to its conflict of laws rules, shall govern these Terms and any dispute, claim, or controversy which arises between the parties. Within thirty (30) days after the arbitration demand is served upon a party, the parties must jointly select an arbitrator with at least five years’ experience in that capacity and who has knowledge of and experience with the subject matter of the dispute. If the parties do not agree on an arbitrator within thirty (30) days, a party may petition the AAA to appoint an arbitrator, who must satisfy the same experience requirement. In the event of a dispute, the arbitrator shall decide the enforceability and interpretation of this arbitration agreement in accordance with the Federal Arbitration Act (“FAA”). The parties also agree that the AAA’s rules governing Emergency Measures of Protection shall apply in lieu of seeking emergency injunctive relief from a court. The decision of the arbitrator shall be final and binding, and no party shall have rights of appeal except for those provided in section 10 of the FAA. Each party shall bear its own attorneys’ fees and costs as well as its share of the fees for the arbitrator and the administration of the arbitration. The arbitrator shall have no authority to award punitive damages and each party hereby waives any right to seek or recover punitive damages with respect to any dispute resolved by arbitration.

THE PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY VIA ARBITRATION AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ARBITRATION PROCEEDING. Further, unless both parties agree otherwise in a signed writing, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

Except as may be required by law, neither a party nor the arbitrator may disclose the existence, content, or results of any arbitration without the prior written consent of both parties, unless to protect or pursue a legal right. If any term or provision of this Section is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Section or invalidate or render unenforceable such term or provision in any other jurisdiction. If for any reason a dispute proceeds in court rather than in arbitration, the parties hereby waive any right to a jury trial. This arbitration provision shall survive any cancellation or termination of your agreement to participate in any of our Programs.

Miscellaneous

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. Any new features, changes, updates or improvements of the Sweepstakes shall be subject to these Terms unless explicitly stated otherwise in writing. We reserve the right to change these Terms from time to time. Any updates to these Terms shall be communicated to you. You acknowledge your responsibility to review these Terms from time to time and to be aware of any such changes. By continuing to participate in the Sweepstakes after any such changes, you accept these Terms, as modified.
